MUMBAI – Rosmerta Digital Services, led by promoter Vivek Nagpal, has reportedly launched an aggressive campaign targeting media portals and journalists. The company is demanding the immediate removal of decades-old reports as well as recent coverage concerning its deferred ₹200-crore Small and Medium Enterprises (SME) Initial Public Offering (IPO).
Journalists across various digital news platforms have reported receiving intimidating communications, initially from an external agency and now via a formal legal route managed by the company’s legal counsel.
Coercion and “Privacy Strike” Threats
According to multiple media professionals, the outreach began with emails warning that failure to delete the coverage would cause “problems” for their web portals and expose them to direct legal warfare. The communications reportedly used a dual strategy: offering financial compensation in exchange for scrubbing the articles, while simultaneously threatening to trigger “privacy strikes” via Google to technically disrupt or delist the news websites. While the intermediary agency involved initially backed away from the operation, Rosmerta’s legal team has actively escalated the matter by issuing formal legal notices.
Background: The Aborted SME IPO
The sudden rush to clean up the digital footprint is closely linked to Rosmerta Digital Services’ attempt to go public. The company had planned a massive ₹206-crore SME IPO, which was scheduled to open for subscription. However, the market debut was abruptly halted and postponed following a wave of whistleblower complaints sent to the Securities and Exchange Board of India (SEBI), the Ministry of Finance, the Central Bureau of Investigation (CBI), and the Enforcement Directorate (ED).
The serious allegations raised by institutional watchdogs and private investors include:
• Concealment of Facts: The promoters—Kartick Vivek Nagpal, Karan Vivek Nagpal, and trust representative Aarti Nagpal—were accused of intentionally hiding material facts and misrepresenting financial metrics within their Draft Red Herring Prospectus (DRHP).
• Regulatory Bans: Critics highlighted that the promoters allegedly masked critical links to controversial capital market figure Vivek Nagpal, who was previously barred by SEBI from accessing the securities market for five years.
• Promoter Group Complexities: Investigations into page 75 of the company’s DRHP revealed intricate equity transfers. Between March 2021 and March 2024, 30,000 equity shares were issued to Reena Rai, the former director of Reba Security Solutions—a designated entity within Rosmerta’s promoter group sharing a registered address in Sector 18, Gurugram.
While Rosmerta Digital officially blamed “adverse market conditions” for deferring its public issue, regulatory pressure from SEBI eventually forced the company to pull back. Having buried the public issue, the management is now aggressively attempting to silence media outlets reporting on the regulatory scrutiny.
